Angela Gatward

Partner, Sale and Purchase Agreement (SPA) Advisory, PwC New Zealand

As Sale and Purchase Leader at PwC New Zealand, Angela leads a team advising clients on the negotiation, drafting and execution of the financial aspects of their sale and purchase agreements (SPAs) and completion mechanisms. Commercially focused and with a deep understanding of the  drivers of value in M&A transactions, Angela assists clients at all stages of the transaction from pre-signing on the purchase price adjustments (e.g. net working capital and net debt) and the corresponding accounting policies,  through to post-signing support, guiding clients through the preparation and review of completion accounts, earn-outs and leakage reviews. Angela supports clients across the entire life of a transaction to optimise value and minimise risk on the financial aspects of SPA negotiations.

Angela has a background in transaction services (financial due diligence) and is dedicated to ensuring that key value drivers and issues identified during diligence are reflected in the SPA. She recognises that each transaction is unique, and uses her extensive experience to provide appropriate financial benchmarks and guidance for financial and commercial aspects of the SPA.

Angela is a recognised expert in her field, and has over 13 years of experience in both New Zealand and internationally, having spent many years working in the UK and Europe. She helped to establish a successful SPA practice at a professional services firm in London; and was an SPA lead when working at PwC Madrid, before moving back to New Zealand.

Outside of work Angela is busy with two young children, and enjoys spending time with the family at the beach and exploring the outdoors.
