PwC New Zealand’s Deals Strategy team advises clients on developing strategies that maximise value in a transaction. Our value bridge framework offers a holistic perspective on value creation and ensures that all possible sources of value are tested and prioritised.
We have broad expertise and experience from projects across a diverse range of sectors spanning healthcare, education, technology, consumer goods, industrials and various other industries.
Our analytical expertise supports vendors and buyers in understanding market drivers at a deep and tangible level. Through detailed diligence of a transaction's commercial elements, we assure clients that the value of the transaction is real and fair.
We are the largest Deals Strategy team in New Zealand and collaborate extensively with our market-leading Deals colleagues in M&A, transaction services, ESG, tax, legal, data and analytics, and IT.
We also work with our PwC and Strategy& colleagues globally to share best practice and support on cross-border transactions.
We work with our clients ahead of a transaction to identify, quantify and validate the upside potential in a business. Levers can include go-to-market strategy, new market entry, product/service expansion, pricing strategy, or cost optimisation. We prioritise the value drivers and craft a compelling and robust narrative for the company’s strategy. This ensures the company's strategic positioning and competitive advantage are articulated and effectively communicated. We also work with buyers to assess strategic fit of potential targets and capture/quantify the value upside created through a merger or acquisition.
We undertake detailed commercial due diligence on target companies. This includes reviewing:
market scale and growth dynamics
target company performance and perceptions
the strength of competitors
the impact of disruption and new technologies
the potential upside in the target business plan.
Our approach combines analytical strengths in market sizing and forecasting, competitor dynamics, customer analysis, business plan reviews, and growth analysis. We work closely with our Data and Analytics teams to bring market-leading solutions to clients.
“Commercial due diligence supports the overall transaction by building a robust assessment of the external market that is complementary to financial, legal, tax, ESG, and other areas of diligence.”
